Summary:

The Associate General Counsel provides legal advice in a multitude of areas, including domestic and international corporate transactions, corporate and regulatory compliance, litigation management, and contracts. This position will also help structure, build, and oversee Rogers’ intellectual property portfolio through the planning, establishment, and implementation of patent and intellectual property strategy and by coordinating with, and overseeing, outside intellectual property counsel. The Associate General Counsel strives to deliver legal advice to their assigned business and functional stakeholders in a way that optimally supports their respective business needs and objectives. This position will report directly to the Vice President, General Counsel and Corporate Secretary, have regular interaction with and exposure to executive leadership, and the opportunity to lead people as the Legal & Compliance Department grows. Title and compensation to be commensurate with experience.

This position is primarily remote and global in reach, with many stakeholders residing within the U.S. Eastern time zone. To be successful in this role, an attorney will need to be detail-oriented and organized; communicate clearly and accurately; have strong agreement drafting and negotiation capabilities; and have time management skills to concurrently manage multiple stakeholders and matters.

Essential Functions:

  • Works as the primary provider of advice regarding all legal matters affecting assigned business units and functional groups. Partners with business unit and functional group leaders to provide solutions to legal issues raised in contractual negotiations and ongoing programs; oversees and educates on compliance matters; assists the development of legal risk mitigation strategies; and handles special projects as necessary for the Legal & Compliance Department.
  • Drafts, reviews, and negotiates commercial agreements and legal documents related to a variety of initiatives and transactions. Provides support to litigation activities.
  • Advises appropriate business unit and functional leadership on various issues such as regulatory compliance, antitrust and competition laws, advertising / promotional matters, corporate governance, ethics, privacy, and strategic transactions.
  • Supervision of IP portfolio, including interfacing with the management teams of the corporate and business unit research & development and product management functions, as well as with outside counsel, to ensure proper protection of the company’s IP (patents, trademarks, copyright, trade secrets, know-how) in the most efficient and cost-effective way possible.
  • Conduct training across departments, as appropriate, on contract issues, internal policies, and procedures.
  • Develops and improves department processes, forms, and systems improvement.
  • Engages in the selection and management of outside counsel as needed.
  • All other duties as assigned.

Qualifications:

  • U.S. licensed attorney with a J.D. from an accredited law school with excellent academics
  • 10+ years of experience, preferably a combination of private practice with a major law firm and relevant in-house experience with a mid-cap or larger company
  • Must have at least four years of experience as an in-house attorney
  • Well-developed analytical and negotiating skills, the ability to solve difficult legal business problems, the ability to analyze contracts, legal agreements and properly protect the company’s interests
  • Ability to work independently but collaboratively in a team setting while displaying a high level of self-direction and sound judgment
  • Ability to work effectively with business unit and functional leaders
  • Working knowledge of the legal strategies available for the protection of intellectual property, particularly related to technology/manufacturing developments and inventions
  • Excellent organizational and analytical skills
  • Excellent verbal and written communication skills
  • Ability to work well in stressful situations and able to leverage/maintain relationships at all levels
  • Technical proficiency: experience using Microsoft Office tools (Word/Excel/PowerPoint/Outlook/Teams/SharePoint) and various computer-based systems
  • Demonstrated ability to work successfully on a remote basis
  • Flexibility to work multiple time zones as needed
  • Some travel is required for this position (~10-15%)

 

 

Preferred Skills:

  • Significant experience in developing and implementing effective strategies for the protection of intellectual property, including through the use of patents, trade-secret protection, and trademarks; registered patent attorney status would be a plus
  • Experience as a people leader, including performance management, employee training, and professional growth
  • Experience supporting mergers and acquisitions and other corporate transactions
  • Experience structuring and negotiating sophisticated technology-related agreements and in developing, implementing and/or supporting data privacy compliance programs for multinational businesses
